C-N Stallion Auction Bidder Terms and Conditions
By registering, placing a bid, or purchasing a breeding through the C-N Stallion Auction, the bidder acknowledges and agrees to the following terms and conditions:
1. Bidder Registration
All bidders must provide accurate and complete contact information. The C-N Stallion Auction reserves the right to refuse or cancel a bidder’s registration at its discretion.
Each bidder is responsible for maintaining the security of their bidding account. All bids placed through a registered account will be considered authorized and binding.
2. Binding Bids
All bids are final and legally binding. Bids may not be withdrawn, reduced, canceled, or transferred without the written approval of the C-N Stallion Auction.
The highest accepted bid at the close of the auction will be considered the winning bid. The winning bidder is obligated to complete the purchase according to these terms.
3. Payment
Full payment must be received within 48 hours after the auction closes or after the winning bidder is notified.
Payment must be made using a payment method approved by the C-N Stallion Auction. Any applicable processing fees, returned-payment fees, taxes, or other charges are the responsibility of the winning bidder.
The breeding will not be released or confirmed with the stallion owner or breeding facility until payment has been received and cleared.
4. Failure to Pay
If the winning bidder fails to make full payment within the required 48-hour period, the C-N Stallion Auction may, at its discretion:
- Cancel the sale;
- Offer the breeding to the next-highest bidder;
- Reopen or relist the breeding;
- Suspend or permanently revoke the bidder’s future bidding privileges; and
- Seek reimbursement for any losses, fees, or expenses caused by the bidder’s failure to complete the purchase.
5. What the Winning Bid Includes
Unless otherwise stated in the individual stallion listing, the winning bid purchases one breeding fee only to the named stallion for the designated breeding season.
The winning bid does not include any additional breeding-related expenses.
6. Additional Expenses
The winning bidder is responsible for all additional charges associated with breeding the mare, including, but not limited to:
- Chute or booking fees;
- Semen collection and processing fees;
- Semen container or deposit fees;
- Shipping, handling, and courier charges;
- Veterinary and reproductive expenses;
- Mare care, boarding, palpation, ultrasound, and insemination expenses;
- Required health testing, cultures, cytology, or breeding soundness examinations; and
- Any other charges imposed by the stallion owner, breeding manager, veterinarian, or breeding facility.
Bidders are strongly encouraged to contact the stallion owner or breeding facility before bidding to verify all additional fees and breeding requirements.
7. Stallion Breeding Contract
The winning bidder must comply with the stallion owner’s or breeding facility’s current breeding contract.
Any requirements concerning mare eligibility, breeding methods, cooled or frozen semen, shipment availability, rebreeding privileges, live-foal guarantees, substitute stallions, veterinary documentation, or breeding-season deadlines will be governed by that contract.
If the stallion owner’s breeding contract differs from these auction terms regarding the management or fulfillment of the breeding, the stallion owner’s breeding contract will control those matters.
8. Breeding and Live-Foal Guarantees
The C-N Stallion Auction does not independently provide or guarantee conception, pregnancy, delivery of a live foal, semen quality, semen availability, or the reproductive soundness of the mare or stallion.
Any live-foal guarantee, rebreed privilege, or other breeding guarantee is provided solely according to the stallion owner’s breeding contract.
The winning bidder is responsible for obtaining, reviewing, signing, and complying with that contract.
9. Mare Approval
All mares are subject to the approval and requirements of the stallion owner or breeding manager.
The stallion owner may require proof of registration, pedigree information, reproductive history, veterinary records, health testing, or other documentation before accepting a mare.
Purchase of a breeding through the auction does not guarantee that a particular mare will be accepted.
10. Breeding Season and Deadlines
The breeding must be used during the breeding season identified in the stallion listing or breeding contract.
It is the winning bidder’s responsibility to contact the stallion owner or breeding facility promptly, complete all required paperwork, and schedule breeding services within the applicable deadlines.
Failure to use the breeding within the designated season does not entitle the bidder to a refund unless otherwise provided in writing by the stallion owner.
11. Transfer or Resale
Auction-purchased breedings may not be transferred, assigned, or resold without prior written permission from both the stallion owner and the C-N Stallion Auction.
12. Stallion Death, Infertility, or Unavailability
If the stallion dies, becomes infertile, or is otherwise permanently unable to fulfill the purchased breeding through circumstances beyond the winning bidder’s control, the bidder will be offered one of the following:
- A refund of the amount paid for the breeding; or
- A replacement breeding to another available stallion of comparable value.
The replacement stallion must be mutually agreed upon by the bidder and the C-N Stallion Auction. If a suitable replacement cannot be agreed upon, the bidder will receive a refund.
This protection applies when the purchased breeding cannot be fulfilled and the cause was not created or contributed to by the bidder, the bidder’s mare, the bidder’s veterinarian, or a party acting on the bidder’s behalf.
Refunds and replacement breedings do not include reimbursement for chute fees, collection fees, shipping expenses, veterinary charges, mare care, or other expenses paid to third parties.
13. Information Provided in Stallion Listings
The C-N Stallion Auction makes reasonable efforts to present accurate information supplied by stallion owners and representatives. However, bidders are responsible for verifying all information that may affect their decision to bid.
The C-N Stallion Auction does not independently guarantee the accuracy of pedigrees, performance records, genetic testing, photographs, breeding fees, semen availability, incentives, or other information supplied for a stallion listing.
14. Technical Issues
The C-N Stallion Auction is not responsible for missed bids, delayed bids, internet interruptions, equipment failure, website errors, or other technical problems beyond its reasonable control.
If a technical problem affects the fairness or completion of the auction, the C-N Stallion Auction may extend bidding, reopen bidding, cancel a bid, relist a breeding, or take any other action it considers reasonably necessary.
15. Auction Management
The C-N Stallion Auction reserves the right to:
- Reject or remove any bid;
- Suspend or remove any bidder;
- Correct errors in a listing;
- Extend or reopen bidding;
- Withdraw a breeding from the auction;
- Resolve disputed bids; and
- Make the final determination regarding the winning bidder.
All auction-management decisions made by the C-N Stallion Auction are final.
16. Assumption of Responsibility
The bidder accepts all risks and responsibilities associated with breeding, semen shipment, reproductive veterinary care, mare management, pregnancy, foaling, and the resulting foal.
The C-N Stallion Auction acts only as the auction facilitator and is not a party to the veterinary or breeding services provided by the stallion owner, breeding facility, veterinarian, shipping provider, or other third party.
17. Limitation of Liability
To the fullest extent permitted by law, the C-N Stallion Auction, C-Barn Quarter Horses, and their owners, representatives, and agents will not be liable for injury, illness, death, infertility, failure to conceive, pregnancy loss, foaling complications, shipping delays, lost or damaged semen, veterinary expenses, or other losses arising from the breeding transaction.
18. Acceptance of Terms
By placing a bid, the bidder confirms that they:
- Have read and understood these terms;
- Have reviewed the individual stallion listing;
- Understand that additional breeding expenses may apply;
- Agree to comply with the stallion owner’s breeding contract; and
- Accept full financial responsibility for any winning bid placed through their account.
These terms constitute the bidder’s agreement with the C-N Stallion Auction.
